Please read these Terms of Use carefully before using the Baseliner platform. By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must stop using the Service immediately.
1.1 The Service is provided by Baseliner.ai Limited, a company incorporated in New Zealand, registered address at Conal Martin, 8 Zion Road, Birkenhead, Auckland, 0626, New Zealand ("Baseliner", "we", "us", or "our").

2.1 These Terms govern your access to and use of the Baseliner platform, including:
2.2 These Terms apply to all visitors, registered users, and customers. If you use the Service on behalf of a company or other legal entity ("Organisation"), you represent that you have authority to bind that Organisation to these Terms.
2.3 The Service is intended for business use only. You confirm you are acting in a professional or business capacity.
2.4 The Service is not intended for use by persons under the age of 18. You must not submit personal data relating to minors through the Service.
2.5 Use of the Atlassian Marketplace and the Jira platform is separately governed by Atlassian's own terms of service and marketplace policies. These Terms govern the relationship between you and Baseliner specifically.
3.1 Baseliner is a project intelligence and estimation platform that helps software teams plan, estimate, and manage work. The Service connects to and processes data from the following sources where you choose to enable them:
3.2 The Service uses data from these sources to generate project estimations, analytics, insights, and related outputs. Where you enable it, the Service may write estimation results back to Jira issues or fields via the Jira API.
3.3 We may update or change the features of the Service from time to time. Where changes are material, we will provide reasonable notice via the Service, the Atlassian Marketplace listing, or by email.
4.1 Certain parts of the Service require you to create an account or connect via an existing Atlassian or Azure DevOps account. You agree to provide accurate and complete information and to keep it up to date.
4.2 You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at info@baseliner.ai if you suspect unauthorised access.
4.3 We may suspend or terminate accounts that are found to be inaccurate, misused, or in breach of these Terms.
5.1 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the applicable subscription term.

5.3 Use of the Jira app is also subject to the Atlassian Marketplace Terms of Use and Atlassian Partner Agreement. Where those terms apply, they take precedence in the context of your use of the Atlassian Marketplace.
6.1 By connecting a data source, you authorise Baseliner to access and process data from that source as described below and in the Privacy Policy.
6.2 Atlassian Jira. When you install the Baseliner Jira app and grant the required permissions, Baseliner may access:
6.3 Microsoft Azure DevOps. When you connect your Azure DevOps account via OAuth, Baseliner may access:
6.4 Microsoft Excel file upload. When you upload an Excel or CSV file, Baseliner processes the contents of that file to extract project, task, or estimation data. No connection to Microsoft servers is made. Uploaded files are treated as your content and handled in accordance with the Privacy Policy.
6.5 You retain all rights in your content and connected data. By using the Service, you grant Baseliner a limited, non-exclusive licence to access, process, store, and use that data solely to provide, maintain, and improve the Service in accordance with these Terms and the Privacy Policy.

7.1 The Baseliner Jira app is available through the Atlassian Marketplace. Your use of the Atlassian Marketplace and the Jira platform is governed by Atlassian's own terms of service and policies, in addition to these Terms.
7.2 Billing for the Jira app subscription is handled through the Atlassian Marketplace billing system. Subscription fees, trial periods, and billing cycles are as set out on the Marketplace listing.
7.3 Atlassian may update its Marketplace policies from time to time. Where any Atlassian policy applies to your use of the Jira app, it will take precedence in that specific context.
8.1 Access to certain features of the Service may require a paid subscription. Applicable fees, plans, and billing terms are described on the Atlassian Marketplace listing or on our website.
8.2 All fees are exclusive of applicable taxes unless stated otherwise.
8.3 We reserve the right to update pricing with reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
8.4 If fees remain unpaid after a reasonable grace period, we may suspend your access until outstanding amounts are settled.
9.1 All intellectual property rights in the Service, including the software, algorithms, documentation, interface design, Baseliner name and logo, and any improvements, are owned by or licensed to Baseliner. Nothing in these Terms transfers any of those rights to you.
9.2 You retain all intellectual property rights in your content and connected data. Baseliner claims no ownership over the data you bring into the Service.
10.1 Each party agrees to keep the other's non-public business, technical, and commercial information confidential and to use it only for the purposes of these Terms.
10.2 This obligation does not apply to information that is publicly known, already known to the receiving party, received from a third party without restriction, or required to be disclosed by law.
11.1 Baseliner warrants that it has the right to provide the Service and will do so with reasonable skill and care.
11.2 To the maximum extent permitted by law, the Service is provided "as is" and "as available". We make no other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy of outputs, or uninterrupted availability.
11.3 Estimation outputs, analytics, and results generated by the Service are provided for informational and planning purposes only. They do not constitute professional advice.
12.1 To the maximum extent permitted by law, Baseliner will not be liable for any indirect, consequential, special, incidental, or punitive loss or damage, including loss of profits, loss of data, loss of goodwill, or loss of anticipated savings.
12.2 Baseliner's total aggregate liability will not exceed the greater of:
12.3 Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
13.1 These Terms remain in force for as long as you access or use the Service or maintain an active subscription.
13.2 You may stop using the Service at any time. For the Jira app, uninstall via the Atlassian Marketplace. For direct subscriptions, contact us at info@baseliner.ai.
13.3 We may suspend or terminate your access immediately if:
13.4 On termination, your right to use the Service ceases immediately. Your data will be handled in accordance with the Privacy Policy.
13.5 Clauses 6.5, 9, 10, 11, 12, 15, and 16 survive termination.
14.1 We may update these Terms from time to time. We will notify you of material changes via the Atlassian Marketplace listing, the Service, our website, or by email.
14.2 Continued use of the Service after the effective date of any updated Terms constitutes acceptance. If you do not agree, you must stop using the Service.
15.1 Informal resolution. If you have a dispute, please contact us first at admin@baseliner.ai. We will attempt to resolve it informally within 15 business days of receiving your notice.
15.2 Mediation. If the dispute is not resolved informally, either party may refer it to mediation in accordance with the standard mediation rules of the Arbitrators and Mediators Institute of New Zealand (AMINZ).
15.3 Arbitration. If the dispute remains unresolved within 15 business days of the commencement of mediation, it will be finally determined by binding arbitration in Auckland, New Zealand, before a single arbitrator under the Arbitration Act 1996 and the AMINZ Arbitration Rules then in force. The arbitrator's decision is final and binding.
15.4 These Terms are governed by and construed in accordance with the laws of New Zealand. Subject to clauses 15.2 and 15.3, the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
15.5 Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
16.1 Entire agreement. These Terms, together with the Privacy Policy and any applicable commercial agreement or Marketplace listing terms, constitute the entire agreement between you and Baseliner in relation to the Service.
16.2 Severability. If any provision is found invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining Terms will continue in full force.
16.3 No waiver. Failure to enforce any provision will not constitute a waiver of the right to enforce it in future.
16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger or sale of substantially all of our assets.
16.5 Force majeure. Neither party will be liable for delay or failure due to causes beyond their reasonable control, including natural disasters, acts of government, internet or power failures, or industrial action.
16.6 Relationship. Nothing in these Terms creates a partnership, agency, employment, or joint venture relationship between the parties.
16.7 Notices. Legal notices to Baseliner must be sent by email to admin@baseliner.ai or by post to our registered address. We will send notices to the email address associated with your account.
